Terms of Service

1. Parties and Acceptance

EquiOps is operated by VenturePath Enterprises LLC, registered in Missouri. By accessing or using EquiOps services, you agree to these Terms of Service and any order form, district agreement, or DPA that references these terms.

2. Service Description

EquiOps provides software and analytics workflows for school nutrition operations, including dashboarding, forecasting, participation analysis, claims-oriented insights, and operational decision support.

3. Eligibility and Authorized Use

  • Services are intended for authorized district and institutional users.
  • Users must be at least 18 years old and authorized by their organization.
  • Account sharing and unauthorized access are prohibited.
  • District administrators are responsible for user role assignment and access governance.

4. Account Security Responsibilities

Users must maintain credential confidentiality, use secure authentication practices, and notify EquiOps promptly of suspected unauthorized account use.

5. District Responsibilities

Districts are responsible for ensuring lawful authority to provide data, for validating operational decisions made from analytics outputs, and for maintaining internal policies consistent with legal and contractual obligations.

6. Acceptable Use Restrictions

Users may not:

  • Use the services for unlawful, harmful, or unauthorized activities.
  • Attempt to bypass security controls or access restricted systems.
  • Upload malicious code or interfere with service reliability.
  • Reverse engineer or derive source code except as permitted by applicable law.

7. Pilot Program Terms

Pilot programs may be time-limited and governed by specific scope, success metrics, and evaluation terms set in writing. Pilot participation does not guarantee specific outcomes unless expressly stated in a signed agreement.

8. Fees, Invoicing, and Payment

Paid services, implementation fees, and billing schedules are governed by applicable order forms or district agreements. Unless otherwise specified in writing, invoices are due according to the agreed payment terms.

9. Intellectual Property

EquiOps and its licensors retain all rights in the platform, documentation, and service materials. Districts retain ownership of district data. Feedback provided by users may be used by EquiOps to improve services without creating ownership transfer of district data.

10. Confidentiality

Each party may receive confidential information from the other and agrees to protect such information using reasonable safeguards and to use it only for authorized contractual purposes.

11. Data Processing and Privacy

Data handling is governed by applicable agreements, including the Privacy Policy and Data Processing Addendum where applicable. Districts generally act as controller and EquiOps acts as processor for district-provided personal data.

12. Service Changes and Availability

EquiOps may update features to improve reliability, security, or functionality. Except as stated in a signed agreement, services are provided on an as-available basis.

13. Disclaimer of Warranties

To the extent permitted by law and except as expressly stated in writing, services are provided without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, special, or consequential damages arising from service use. Liability limits and exclusions are subject to signed district agreements.

15. Suspension and Termination

EquiOps may suspend access for material security risk, non-payment, or substantial breach, subject to applicable agreement terms. Upon termination, data return/deletion processes are handled according to contract and legal requirements.

16. Governing Law and Disputes

These Terms are governed by Missouri law unless otherwise defined by a signed contract. Any dispute venue and procedure may be further specified in district agreements.
